Creator Agreement

This Creator Agreement (the "Agreement") is entered into by and between Creative Entertainment LFF SRL, a company organized and existing under the laws of Romania, having its registered office in [complete address], registered at the Romanian Trade Register under no. [CUI/Reg. No.], operating the digital content platform LoungeForFans ("we", "us", "our", or "LoungeForFans"), and the individual or legal entity registering as a creator on LoungeForFans ("you", "your", or the "Creator").

By creating a Creator Account on LoungeForFans, you agree to be bound by the terms and conditions of this Agreement. If you do not agree, you must not register or use the platform.

1. Eligibility and Account

1.1. You represent that you are at least 18 years old (or the legal age of majority in your jurisdiction), and you have the legal capacity to enter into this Agreement.

1.2. You must provide accurate, current, and complete information during registration and keep your account information updated at all times.

1.3. You are solely responsible for maintaining the confidentiality of your account and for all activity occurring under it.

2. Content and License

2.1. As a Creator, you may upload, post, and distribute content (photos, videos, audio, livestreams, text, etc.) to your LoungeForFans profile (collectively, "Content").

2.2. You retain full ownership of your Content. However, by uploading Content, you grant LoungeForFans a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, display, distribute, and promote your Content on the platform for the purpose of operating, marketing, and improving LoungeForFans.

2.3. You warrant that:

• • You own or have all necessary rights to your Content.
  • Your Content does not infringe any intellectual property or privacy rights.
  • All individuals depicted in your Content are at least 18 years old, and you have obtained valid consent from them.

3. Prohibited Content

3.1. You agree not to upload, post, or share any Content that:

• • Involves minors (under 18), non-consensual acts, or any form of exploitation or abuse.
  • Is obscene, defamatory, threatening, incites violence or hatred.
  • Promotes illegal activities or violates applicable law in your jurisdiction or ours.

3.2. LoungeForFans has the right (but not obligation) to review, moderate, and remove any Content at its discretion.

4. Payments and Commissions

4.1. LoungeForFans processes payments from subscribers and users on your behalf. You will receive 85% of the revenue generated through your Content (the "Creator Earnings"), and LoungeForFans retains a 15% platform fee.

4.2. Payouts are made within 1–3 business days of request, provided that:

• • Your balance exceeds €100 EUR (minimum payout threshold);
  • Your payment details are correct and verified;
  • There are no active disputes or violations on your account.

4.3. You are responsible for reporting and paying all applicable taxes in your jurisdiction.

5. Refunds and Chargebacks

5.1. In case of chargebacks, fraudulent transactions, or user refunds, LoungeForFans may deduct such amounts from your earnings. We reserve the right to temporarily withhold payouts during investigations.

6. Term and Termination

6.1. This Agreement is effective from the moment you register as a Creator and remains in force until terminated.

6.2. You may terminate this Agreement at any time by deleting your Creator Account.

6.3. We may suspend or terminate your account:

• • For breach of this Agreement or applicable law;
  • Upon request of legal authorities;
  • If your Content or conduct is harmful to the platform or other users.

6.4. Upon termination, LoungeForFans may retain a copy of your Content for recordkeeping or legal purposes, but will cease displaying or distributing it.

7. Intellectual Property

All trademarks, logos, and platform infrastructure remain the exclusive property of LoungeForFans or its licensors. You may not use our branding without explicit permission.

8. Limitation of Liability

To the fullest extent permitted by law:

• • LoungeForFans is not liable for any indirect, incidental, or consequential damages;
  • We do not guarantee uninterrupted access or error-free operation;
  • You use the platform at your own risk.

9. Indemnification

You agree to indemnify and hold harmless LoungeForFans, its directors, officers, and affiliates from any claims, losses, damages, or expenses arising from:

• • Your Content;
  • Your breach of this Agreement;
  • Your violation of any rights of another party.

10. Governing Law and Jurisdiction

This Agreement shall be governed by the laws of Romania, without regard to conflict of law principles. Any disputes shall be resolved by competent courts in Bucharest, Romania, unless otherwise required by law.

11. Modifications

We may update this Agreement from time to time. Continued use of the platform after such updates constitutes your acceptance. You will be notified of any material changes.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and LoungeForFans regarding your status as a Creator and supersedes all prior agreements or communications.
